1. Acceptance of Terms

By accessing and using ARMS IT's E-Invoicing platform ("the Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Service.

2. Service Description

ARMS IT provides a cloud-based E-Invoicing solution that enables businesses to create, manage, and transmit FIRS-compliant electronic invoices. The Service includes:

• Invoice creation and management
• FIRS validation and transmission
• Customer and product management
• Reporting and analytics
• API access for integration

3. User Obligations

As a user of the Service, you agree to:

• Provide accurate and complete information during registration and account setup
• Maintain the security of your account credentials
• Use the Service only for lawful purposes and in compliance with Nigerian tax laws
• Not attempt to gain unauthorized access to the Service or other users' accounts
• Not use the Service to transmit any malicious code or harmful content
• Comply with all applicable laws and regulations

4. Subscription and Billing

The Service is provided on a subscription basis. Subscription fees are billed according to your selected plan. All fees are exclusive of VAT unless otherwise stated. You agree to pay all fees associated with your subscription.

• Payment Terms: Payment is due according to your billing cycle (monthly, quarterly, or annual)
• Invoice Limits: Your plan includes a specific number of invoices per billing period. Additional invoices may incur overage charges
• Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period
• Refunds: Refunds are provided according to our refund policy, typically within 30 days of purchase for annual plans

5. FIRS Compliance and Validation

ARMS IT provides tools and features to help you create FIRS-compliant invoices. However, you are responsible for:

• FIRS Validation: Our system validates invoices based on current FIRS technical specifications. However, successful transmission does not constitute a tax audit clearance by FIRS.
• Limitation of Liability: ARMS IT shall not be liable for any penalties, fines, or interest imposed by FIRS or other tax authorities resulting from incorrect data entry or misuse of the platform by the user.

6. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, and software, are the exclusive property of ARMS IT and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy. We implement industry-standard security measures to protect your data, but you acknowledge that no method of transmission over the Internet is 100% secure.

8. Limitation of Liability

To the maximum extent permitted by law, ARMS IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria.
